SALES AND RETURN TERMS

General:
These terms and conditions of sale and returns apply to all offers, all sales, and all deliveries unless otherwise agreed in writing between the parties. The company may not enter into agreements with minors (under 18 years of age) without the consent of a parent or guardian. Registered legal name: Pooltime AB.

Prices:
All prices are stated in SEK. Pooltime AB's prices are shown in Pooltime AB's current price list or in a specific offer, which also contains information about delivery costs according to Pooltime AB's calculations, taking into account such changes in exchange rates, customs duties, taxes, fees, etc. that may be attributable to the agreed delivery. Pricing depends on, among other things, the manufacturer's price, exchange rates, and other external factors, and Pooltime AB reserves the right to change prices immediately without prior notice.

Payment:
Payment must be made no later than the date stated on the invoice as the final payment date. The main rule is that payment must be made net in cash. Pooltime AB is entitled to charge interest and fees for non-payment at 2% per month (24% per year) until the overdue amount has been paid, in cases where payment is made after the due date. Payments from the buyer are credited first against accrued default interest and costs, and thereafter against the debt. The buyer is not entitled to offset any counterclaims against Pooltime AB unless this has been approved in writing by Pooltime AB, nor is the buyer entitled to withhold any part of the purchase price with reference to counterclaims of any kind. If delivery is postponed due to circumstances relating to the buyer, the buyer is obliged to pay Pooltime AB as if delivery had taken place at the agreed time. Pooltime AB may agree in writing to waive this condition. For custom-made pool enclosures, as well as PP pool deliveries, only payment before delivery applies. In the event of incomplete payment, all deliveries will be stopped and the customer is obliged to compensate Pooltime AB for any resulting costs.

Retention of title:
Pooltime AB retains title to delivered goods until the full purchase price, including delivery costs and any interest and expenses, has been paid in full.

Delivery terms for PP pools
Orders for PP pools are placed via the website, or by the end customer completing the order form. Incomplete order forms may be rejected or supplemented by Pooltime AB. For PP pools, the customer must approve the order confirmation and pay the deposit before it goes into production. Delivery times vary depending on the pool model, and Pooltime AB cannot be held liable for compensation or damages arising from delays connected with this. The PP pool is delivered by an external transport company, provided that weather conditions permit it (wind and rain may affect delivery). Pooltime AB is not responsible for additional costs arising from delays in pool delivery. Any costs incurred in connection with the pool delivery (e.g. a standing crane truck that cannot unload, a crane truck that cannot get through, etc.) will be charged to the customer. Any transport damage occurring in connection with delivery must be reported immediately upon receipt of the delivery to the transport company.
PLEASE NOTE: skimmer, inlet, flexible hose, lights, or other pool accessories are not permanently installed at the factory, but are only fitted for transport. The pool installer is always responsible for checking that these components are intact upon arrival and that their installation is carried out professionally. Pooltime AB is not responsible for damage or leakage arising because these components are not intact or have been incorrectly installed. Pooltime AB provides the manufacturer's warranty on all components. Discoloration arising because the owner has neglected the pool (too low/high chlorine level/pH value) is not covered by the warranty. Furthermore, the warranty does not apply if the damage has arisen through settlement or movement of the pool or because the installation was not carried out in accordance with our regulations set out in the “PP Pool Installation Manual”. Delivery of a pool enclosure or other equipment ordered at the same time as the pool takes place separately, and Pooltime AB is not responsible for any delivery delays of a few days. Pump rooms delivered in connection with PP pools are pressure-tested/tested at the factory, and Pooltime AB is not responsible for leakage occurring in these pump rooms. The pool installer is responsible for connecting, assembling, and drilling drainage holes in these pump rooms.

Delivery:
Delivery is made from Pooltime AB's warehouse or from the manufacturer's warehouse. Delivery is paid for by the buyer unless it is expressly stated that delivery costs are included in the price. Delivery costs (freight, postage, packaging materials, etc.) are shown in Pooltime AB's current price list or provided by Toth Invest Solutions. The delivery time is determined by Pooltime AB, taking into account the conditions prevailing at the time of the offer or when the contract was concluded. Pooltime AB is not responsible for delayed deliveries but always strives for punctual delivery. If an item is not received within 3 days after notified delivery or if an incorrect address has been provided by the buyer, Pooltime AB reserves the right to charge additional costs such as storage, extra transport charges, handling fees, and late fees per order. Any transport damage occurring in connection with delivery must be reported immediately, but no later than 1 day after delivery, to the transport company.

Order errors / Right of withdrawal 14 days:
Pooltime AB applies a 14-day right of withdrawal to stock items. Ordered items such as pool, pool enclosure, slatted cover, liner, and pool cover are not covered by the right of withdrawal. These products are specially manufactured for the customer according to the customer's order. Other returns are generally not accepted. In special cases, returns of goods or cancellation of orders may take place after this has been agreed in writing, and in such cases this right applies only to stock items in unopened original packaging. Pooltime AB reserves the right, in the event of returns of goods or cancellation of orders, to charge a return fee of 15% of the invoice amount, but at least 550 SEK. The goods are credited at the lowest current daily prices.
We comply with the Consumer Sales Act, and the customer has a 3-year right to claim for products and 6 months for installation work under the Consumer Services Act. In the event of replacement delivery or remedying of a fault under a claim, any shipping costs will be refunded within 30 days from the day we received the claimed item.

Product information:
Pooltime AB is not responsible for any errors or changes in brochures or other advertising material. Any errors or changes cannot be used against Pooltime AB.
Product changes: Pooltime AB reserves the right, without prior notice, to change the products or parts thereof, provided this can be done without causing functional problems for the buyer.
Intellectual property rights:
All product deliveries are made with respect to each individual rights holder's intellectual property rights, and Pooltime AB is not responsible for any action on the part of the buyer that is in conflict with these rights.

Incomplete deliveries and claims:
Upon delivery, the buyer must immediately inspect the delivery in accordance with normal business practice. If the buyer considers the delivery incomplete or incorrect, the buyer must notify Pooltime AB in writing no later than 24 hours after delivery and specify which component or components are missing. Unless the buyer has discovered or should have discovered the deficiency and does not notify Pooltime AB as above, the buyer may not later invoke this deficiency. Pooltime AB is not responsible for leakage in fittings, pump rooms, or other installation-related products as these may have shifted during transport. The responsibility therefore lies with the buyer or installer to inspect the product and rectify the fault without Pooltime AB's involvement. Pooltime AB has the right to choose whether the incomplete delivery will be supplemented or whether a replacement delivery will be made. Changes or modifications to the purchased product without written consent from Pooltime AB mean that Pooltime AB is released from all obligations. If Pooltime AB instructs the buyer to do so, the buyer must immediately after making the claim, at the buyer's expense and risk, return the allegedly faulty item to Pooltime AB in its original packaging. Pooltime AB reserves the right on each occasion to only undertake to receive the allegedly defective part. If Pooltime AB has undertaken to provide service under a special agreement, the service agreement only covers the purchased products. Pooltime AB reserves the right to test goods claimed to be defective. If Pooltime AB finds during testing that the item is functioning faultlessly, the item will be returned with an invoice for the work performed. Only after the test has been carried out will Pooltime AB make any replacement or credit. Replacement: The item is replaced with an equivalent item and in the corresponding quantity received in return.

Limitation of liability:
Claims for compensation against Pooltime AB may not exceed the invoice amount for the sold product. Pooltime AB's liability for compensation is limited to direct losses, and Pooltime AB is not responsible for production stoppages, compensation for lost profit, or other indirect losses. Pooltime AB is not responsible for delays or deficiencies attributable to remedial measures, replacements, or attempts at the same. Pooltime AB is not liable if the following circumstances prevent the purchase from being fulfilled or make performance unreasonably difficult: labour disputes or other circumstances beyond the parties' control, such as fire, war, mobilisation or similar, requisition, seizure, currency restrictions, riots and unrest, shortage of transport, general shortage of goods, restrictions on fuel, and deficient or delayed deliveries from subcontractors attributable to any of the circumstances mentioned in this clause or other circumstances that substantially prevent Pooltime AB from fulfilling its part of the agreement. Circumstances as referred to in the previous clause that occurred before the offer was announced or the agreement was concluded only exempt liability if the effect of the circumstances on performance of the agreement could not have been foreseen at that time.

Product liability:
To the extent that nothing else is prescribed in Swedish legislation under product liability rules that cannot be waived by agreement, the following limitations apply: Pooltime AB is liable only for damage caused by a product delivered by Pooltime AB, to the extent it can be proven that the damage arose due to a defect or negligence in connection with that product, despite the product having been installed by a professional in accordance with Pooltime AB's installation manual.

Transfer of rights and obligations:
Pooltime AB has the right to transfer all rights and obligations relating to the agreement to a third party.

Privacy policy:
The company handles personal data confidentially and follows Handelsbanken's privacy policy.

Disputes:
Any dispute concerning the interpretation or application of these terms and related matters shall be settled by arbitrators in accordance with the Act (1929:145) on Arbitrators. Arbitration proceedings shall take place in Malmö. However, a party may bring an action in a court of law to recover an undisputed claim. In such case, a disputed counterclaim may not be invoked by way of set-off, but such counterclaim shall be settled in arbitration proceedings.
